These Terms of Service ("Terms") govern your use of lilyslab.com, shop.lilyslab.com and any related site, store or service operated by Lily's Lab LLC, a Texas limited liability company ("Lily's Lab," "we," "us"), and your purchase of our products. By using our sites or placing an order, you agree to these Terms, our Refund Policy, our Shipping Policy and our Privacy Policy. If you do not agree, do not use our sites or buy our products.

PLEASE READ SECTION 12 CAREFULLY. IT REQUIRES MOST DISPUTES TO BE RESOLVED BY INDIVIDUAL BINDING ARBITRATION AND WAIVES CLASS ACTIONS AND JURY TRIALS.

1. Eligibility

You must be at least 18 years old, or the age of majority where you live, to buy from us. Our products are intended for adults.

2. Products are not medical advice

Our products are dietary supplements. These statements have not been evaluated by the Food and Drug Administration. Our products are not intended to diagnose, treat, cure, or prevent any disease. Content on our sites, social media and emails is for general information only and is not medical advice. Talk with your healthcare provider before using any supplement, especially if you are pregnant, nursing, taking medication or have a medical condition. Read the label and use only as directed. Individual results vary, and we make no promise of any particular result.

3. Orders, pricing and availability

All orders are subject to acceptance and availability. We may limit quantities, refuse or cancel any order, including after confirmation, for any reason, such as suspected fraud, resale, or an error in price, description or availability. If we cancel an order after you have been charged, we will refund that charge. Prices and products may change without notice. Applicable taxes and shipping are shown at checkout.

4. Subscriptions and automatic renewal

If you choose a subscription, you authorize us and our payment processor to charge your payment method automatically on the schedule you select, at the price shown at signup plus applicable taxes and shipping, until you cancel. Your subscription continues until you cancel. You can cancel, skip or change your subscription at any time from your account (Manage Subscriptions); cancel before your next billing date to avoid the next charge. If a price changes, we will notify you before it applies. Charges already processed are not refundable, except as required by law.

5. Payment

You agree to provide current and accurate billing information and authorize us to charge the total amount of your order. Payments are processed by third-party payment providers.

6. Shipping, risk of loss and refunds

Shipping is governed by our Shipping Policy. Title and risk of loss pass to you when we deliver your order to the carrier. All sales are final, except as stated in our Refund Policy.

7. Accounts

You are responsible for keeping your account credentials confidential and for all activity under your account.

8. Intellectual property

All content on our sites, including text, images, logos, product names, designs and recipes, is owned by Lily's Lab or its licensors and is protected by law. You may not copy, reproduce, modify, distribute or use it for commercial purposes without our written permission.

9. Reviews and submissions

If you submit a review, comment, photo or other content, you grant us a worldwide, royalty-free, perpetual, irrevocable license to use, reproduce, edit, display and distribute it, with or without your name, in any media. You confirm that your submission is truthful, is your own, and does not violate anyone's rights. We may remove any submission for any reason.

10. Acceptable use

You may not use our sites for any unlawful purpose; to interfere with their operation or security; to scrape, copy or harvest data except through standard search engine indexing; to impersonate anyone; or to resell our products without our written permission.

11. Disclaimers and limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, OUR SITES AND PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE," AND WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. TO THE FULLEST EXTENT PERMITTED BY LAW, LILY'S LAB AND ITS OWNERS, MEMBERS, EMPLOYEES, AGENTS AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR DATA, ARISING FROM YOUR USE OF OUR SITES OR PRODUCTS. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNT YOU PAID US FOR THE PRODUCT THAT IS THE SUBJECT OF THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THESE MAY NOT APPLY TO YOU.

12. Dispute resolution, arbitration and class action waiver

Before filing any claim, you agree to email contact@lilyslab.com with a description of the dispute and to try in good faith to resolve it informally for at least 30 days. Except for claims that qualify for small claims court, any dispute arising from or relating to these Terms, our sites or our products will be resolved by final and binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, governed by the Federal Arbitration Act. YOU AND LILY'S LAB EACH WAIVE THE RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION OR REPRESENTATIVE PROCEEDING. If this class action waiver is found unenforceable, this Section 12 does not apply to that claim, and it will proceed in the courts described in Section 13. You may opt out of arbitration by emailing contact@lilyslab.com within 30 days of your first purchase with your name and a clear statement that you opt out.

13. Governing law and venue

These Terms are governed by the laws of the State of Texas, without regard to its conflict of law rules. Subject to Section 12, any action must be brought in the state or federal courts located in Dallas County, Texas, and you consent to their jurisdiction.

14. Indemnification

You agree to indemnify and hold harmless Lily's Lab and its owners, members, employees and agents from any claims, losses and expenses, including reasonable attorneys' fees, arising from your violation of these Terms or misuse of our products or sites.

15. Third-party services

Our sites use third-party services, including Shopify for our store and checkout. Links to third-party sites are provided for convenience; we are not responsible for their content or practices.

16. Changes

We may update these Terms at any time by posting the revised version on this page. Changes apply to orders placed and use occurring after the update.

17. General

If any part of these Terms is found unenforceable, the rest remains in effect. Our failure to enforce any provision is not a waiver. These Terms, together with the policies referenced above, are the entire agreement between you and Lily's Lab regarding their subject matter. Nothing in these Terms limits any right you have that cannot be waived under applicable law.
